India’s Hyatt International ruling: PE or no PE, that is the question
The Indian Supreme Court’s July 24, 2025 decision in the Hyatt International case expands the definition of permanent establishment (PE) to include functional control over core business activities, even without a physical presence. The Court found that Hyatt International’s 20‑year advisory agreement with Asian Hotels in India, which involved appointing key personnel, setting HR and procurement policies, and formulating pricing and marketing strategies, created a fixed PE. The ruling signals that multinational enterprises may face PE risk from digital or managerial control arrangements, prompting a reevaluation of global capability centres, contract manufacturing, and outsourced R&D setups.
