    US Cellular Closes $4.3 Billion Sale

    U.S. Cellular completed a $4.3 billion sale of its wireless business and select spectrum assets to T-Mobile on August 1, 2025, following which it rebranded as Array Digital Infrastructure. The transaction triggered a $23 per share special dividend for shareholders and significantly reduced debt, enabling a strategic shift toward tower and fiber infrastructure. T-Mobile assumed $1.7 billion in debt, reduced its total debt to $364 million, and will distribute approximately $1.63 billion to its parent, Telephone and Data Systems (TDS). Standard & Poor's upgraded TDS's credit rating to BBB–. Array retains 4,400 towers and spectrum assets and has a 15-year master license agreement with T-Mobile for 2,015 colocations and 600 term extensions. TDS Telecom accelerated fiber deployment, adding 27,000 new fiber service addresses in Q2 2025, with plans to reach 150,000 total fiber addresses and expand rural connectivity via the EACAM program targeting 300,000 additional addresses. Management expects additional gross proceeds of $2 billion from pending spectrum sales with AT&T and Verizon in 2025 and 2026, potentially leading to future dividends and a regular dividend for Array.
