Rubis Énergie sets up $265 million 2-year Shelf Facility Rubis Énergie, a wholly owned subsidiary of the listed company Rubis, is a leading energy distribution business, specialising in the distribution of fuels (in service stations or to professionals), lubricants, liquefied gas, and bitumen, from supply to the end customer. It operates in over 40 countries across three geographical zones: Europe, Africa, and the Caribbean. In July 2024, Pricoa Private Capital set up a $265 million Shelf Facility and will fund 3 series of €70 million each of Senior Unsecured Notes with a 8-, 10-, and 12-year bullet maturities. This transaction marks Rubis’ first US Private Placement. The proceeds will enable the Company to diversify its funding sources while extending the current average maturity of its debt from 3 to 5 years. CMS represented Pricoa Private Capital as lender counsel. BRED Banque Populaire advised on the transaction, and Norton Rose Fulbright LLP Paris and London offices acted as legal counsel for Rubis. #cleancooking #SDG7 #SDG5 Today is held in Paris the International Energy Agency (IEA) Summit on Clean Cooking in Africa Nearly four in five Africans still cook their meals over open fires and traditional stoves, using wood, charcoal, animal dung, and other polluting fuels. This has direct impacts on health, gender equality and the environment, with women and children bearing the worst consequences. Women and girls spend up to five hours a day collecting fuel and cooking. This leaves little time for education, social or economic activities. Worldwide, the annual economic cost of women and girl's time searching for fuel wood is estimated at $800 billion. The health costs are as high as $1.4 trillion. As Dr Akinwumi Adesina said at COP28, "providing access to clean cooking is clearly doable in Africa.” At RUBIS we are convinced that LPG is a transitional energy that can help meet these challenges in Africa. RUBIS ET I SQUARED CAPITAL FINALISENT UN ACCORD POUR LA CESSION DE LA PARTICIPATION DE RUBIS DANS RUBIS TERMINAL Rubis annonce que les négociations exclusives ouvertes avec I Squared Capital concernant la cession de sa participation de 55 % dans la JV Rubis Terminal ont abouti à un accord définitif aux conditions financières annoncées le 13 mars 2024. Cet accord fait suite à la consultation des instances représentatives du personnel et la délivrance d'un avis favorable par le comité social et économique de Rubis Terminal. L'opération reste soumise aux autorisations réglementaires habituelles, y compris celles des autorités de la concurrence et des comités d'investissements étrangers. La clôture de l'opération est prévue pour mi-2024.

RUBIS ENTRE EN NÉGOCIATION EXCLUSIVE AVEC I SQUARED CAPITAL POUR LA CESSION DE SA PARTICIPATION DE 55 % DANS LA JV RUBIS TERMINAL Rubis a annoncé être entré en négociations exclusives avec I Squared Capital pour la cession de sa part de 55 % dans Rubis Terminal. Rubis Terminal est un acteur majeur du Stockage de produits liquides avec 4 millions de m3 de capacité de stockage en France, en Espagne et dans les hubs d’Anvers et Rotterdam. Rubis a créé la JV Rubis Terminal avec I Squared (45 % de participation) en 2020 pour mettre en place une stratégie de diversification des produits et d’expansion géographique, dans l’optique de créer de la valeur pour la société. En prenant le contrôle exclusif (100 %) de la JV, I Squared pourra utiliser sa capacité financière afin de poursuivre l’accélération de la croissance et la diversification de Rubis Terminal aux côtés de l’équipe de Direction en place. Pour Rubis, cette cession est l’opportunité de cristalliser la valeur ainsi créée. Elle s’inscrit parfaitement dans la stratégie du Groupe mise en œuvre depuis 2021 visant à faire croître son retour à l’actionnaire en développant la branche Distribution d’énergies tout en orientant ses investissements vers la Production d’énergie renouvelable. Le prix de vente net pour la part de 55 % détenue par Rubis s’élèverait à 375 millions d’euros versés sous la forme d’un paiement de 125 millions d’euros au closing de l’opération, suivi par trois versements de montant identique sur les trois années suivantes. La valeur d’entreprise de l’opération a été fixée sur la base de 11x l’EBITDA des 12 derniers mois à juin 2023. La plus-value de cession, estimée à 75 millions d’euros, serait intégralement reversée aux actionnaires par le biais d’un dividende exceptionnel de 0,75 euro par action qui interviendrait après le closing de l’opération. Le solde serait alloué à l’accélération de la transition énergétique dans toutes les activités opérationnelles du Groupe. Cette opération reste soumise au processus d’information et de consultation des institutions représentatives du personnel concernées conformément au droit en vigueur, ainsi qu’aux autorisations réglementaires habituelles dont celles des autorités antitrust et des comités d’investissements étrangers. Le closing de l’opération est attendu pour mi-2024.
