Bitfarms has entered into a definitive agreement under which the Company will acquire 100% of the equity securities of Stronghold Digital Mining, Inc (NASDAQ: SDIG). This agreement would add significant value to shareholders, including:

- Provides Clear Path to 950 MW Active Power Capacity, with nearly 50% in the U.S., by YE 2025E 
- Adds 142 MW of Pennsylvania-New Jersey-Maryland (PJM) Interconnection Import Capacity with Long Term Expansion Potential up to 790 MW 
- Adds 4.0 Exahash (EH/s) to Bitfarms’ existing hashrate with expansion capacity up to 10 EH/s with Fleet Refresh
