The long-running saga of Illumina’s attempted acquisition of Grail – named so because of the belief that its blood test might prove to be the ‘Holy Grail’ of cancer detection – stirred up significant legal issues with regards to the status of European merger control. Although the European Commission’s involvement in the case was not determinative – the US Federal Trade Commission had already acted to block the merger – it was nonetheless a significant reflection of its inability to intervene in an acquisition that could have had a serious impact on a key market. A year on from the introduction of the Economic Crime and Corporate Transparency Act 2023, a newly published outline transition plan for Companies House has provided some clarity on the timings for further changes. With various measures introduced as a result of the act in spring earlier this year, there remain a number which are yet to come into force – which, together, will amount to some of the most significant changes to UK corporate transparency in 170 years.
