As part of our firm’s 30th anniversary celebrations, we played a part in Singapore Repertory Theatre (SRT)’s Student Education Fund programmes through our donations made in 2022. It is heartening that in the past year alone, the funds we helped raise have gone towards six theatre programmes and two stage camps, reaching up to 52 beneficiary organisations,1421 children and 223 youth, including those with special needs. Each year, SRT partners with student care centres, charities, and other organisations to support children from all backgrounds, including those with disabilities, through access shows and theatre productions. A heartfelt thank you to SRT for allowing us to be part of such a meaningful cause! We’re truly grateful to contribute to a journey that sparks creativity and opens doors for the next generation of theatre makers.

At a recent conference “Transit-Oriented Development (TOD) - the Impacts of Land Law 2024 and Law on Capital” co-organised by Hanoi Metropolitan Railway Board (MRB), AmCham Vietnam HCMC & Danang , and LNT & Partners , our Energy, Projects & Construction Partner Lesley Tan shared her insights on Singapore’s TOD Project and Land Betterment Charge. The event focused on the legal frameworks guiding TOD, strategies for mobilising private investment in Mass Rapid Transit projects, and innovative funding mechanisms such as Land Value Capture. Key stakeholders, including the Hanoi MRB, legal experts, developers, and financial institutions, gathered to share their expertise on and discuss solutions for successfully executing TOD projects.

Delays in construction projects, both in Singapore and internationally, are a common occurrence, often leading to disputes over financial responsibility. In collaboration with Real Estate Developers' Association of Singapore (REDAS) , our Head of Infrastructure, Construction & Engineering Ian de Vaz , Head of Energy, Projects & Construction Peng Cheng Tay , and Partner Lesley Tan , will share their expertise on these issues in an in-depth workshop on 5 November 2024. The session will explore key topics, including the causes and impacts of delays, the legal basis for Extensions of Time, entitlement to prolongation costs, and the enforcement of liquidated damages. In our 29 November 2023 update titled “Obligation to Pay Cryptocurrency May Count As Debts in Determining Insolvency, Singapore High Court Rules”, we highlighted the Singapore High Court’s decision in Loh Cheng Lee Aaron and another v Hodlnaut Pte Ltd [2023] SGHC 323, which explored the novel issue of whether an obligation to repay cryptocurrency is a “debt” under section 125 of the Insolvency, Restructuring and Dissolution Act 2018 (IRDA). In a subsequent decision, Aaron Loh Cheng Lee & Anor v Hodlnaut Pte Ltd [2024] SGHC 257, the High Court addressed another novel issue in the Company’s liquidation: when and whether a liquidator should be authorised to commence legal proceedings on behalf of the company under section 144(1)(e) of the IRDA. In this update, our Restructuring & Insolvency Partners Lionel Leo and Eden Li who successfully represented the liquidators in this case, analyse the High Court’s recent decision, which is the first to detail the factors relevant to the grant of authorisation under section 144(1)(e) of the IRDA. Direct payment arrangements in the construction industry, such as payments made by employers to subcontractors or main contractors to sub-subcontractors, are not uncommon. The recent decision by the General Division of the High Court in SECC Holdings Pte Ltd v Helios PV (Asia Pacific) Pte Ltd (Sinohydro Corporation Limited (Singapore Branch), garnishee) [2024] SGHC 215 considered such a direct payment arrangement, and addressed whether it operated as an assignment of debt or as a vicarious performance of a debt obligation. Whether the provisional garnishee order that the appellant had obtained against the garnishee should be made final turned on this essential question. The General Division allowed the appellant’s appeal against the decision of the District Court which had ruled in the garnishee’s favour, and ordered that the provisional garnishee order be made final.
