The Economic Crime and Corporate Transparency Act has introduced a new definition of an appropriate registered office address. 🏢 An appropriate address means that anything delivered to that address is expected to come to the attention of a person acting on behalf of the company. This means you cannot use certain addresses, such as PO Boxes, for your registered office address. You can still use an agent’s address as long as it meets the requirements for an appropriate address. Find out more: https://lnkd.in/e2X5kSWC

Under the Economic Crime and Corporate Transparency Act, Companies House will be required to verify the identity of anyone who’s submitting information to the public register. This includes individuals acting on behalf of a company. From spring 2025, third-party providers will be able to register their business as an Authorised Corporate Service Provider (ACSP) so they can tell Companies House when they’ve verified a client’s identity. From spring 2026, anyone acting on behalf of another company will also need to register as an ACSP to file information with us. Here's what you need to know ⬇️

The new “failure to prevent fraud” offence shakes things up in the fight against fraud. Today we welcome the UK Home Office 's guidance on the new offence which tells companies what they need to do ahead of the new powers to tackle corporate fraud coming into force. For the Serious Fraud Office, this offence means we have more power to hold large organisations to account if they fail to prevent fraud by their staff. It comes into force in September 2025. The introduction of a failure to prevent bribery offence in 2011 was transformative in the fight against bribery, returning over £1 billion to the taxpayer via penalties, and pivotal to nine out of our 12 deferred prosecution agreements to date, as well as featuring in the convictions of major oil and commodities companies Glencore and Petrofac.
