PXR, alongside Paul Hastings, has acted as lead legal counsel in the recent successful $35 million Series A funding round of M^0 Labs, a pioneering decentralized stablecoin minting protocol. The oversubscribed funding round, which was led by Bain Capital Crypto, marks a significant milestone in the cryptocurrency and blockchain industry.

M^0 (pronounced "M Zero") successfully closed the Series A funding with contributions from other major investors including Galaxy Ventures, Wintermute Ventures, GSR, Caladan, and SCB 10X. The funding, which was structured as equity plus tokens, involved the issuance of M^0’s governance tokens, POWER and ZERO, with a lock-in period that adheres to stringent business and regulatory frameworks.

𝗧𝗲𝗶𝗹 𝟮 𝗱𝗲𝗿 𝗙𝗔𝗤-𝗥𝗲𝗶𝗵𝗲 zu EIP - jetzt wird es schon etwas technischer.

Equity Incentive Plans (EIP) sind sowohl aus Sicht der Mitarbeiter (+30% Nettoerlös) als auch aus der Perspektive von Tech-Unternehmen (geringere Verwässerung) wertvoller als klassisches V/ESOP. 

Die Einführung eines EIP wird daher für Startups im Tech-Bereich über kurz oder lang alternativlos sein, um die besten Talente anzuziehen. 𝗨𝗻𝘁𝗲𝗿𝗻𝗲𝗵𝗺𝗲𝗻, 𝗱𝗶𝗲 𝗘𝗜𝗣 𝘀𝘁𝗮𝘁𝘁 𝗩/𝗘𝗦𝗢𝗣 𝗮𝗻𝗯𝗶𝗲𝘁𝗲𝗻, 𝗺𝗮𝗰𝗵𝗲𝗻 𝗲𝗶𝗻𝗳𝗮𝗰𝗵 𝗱𝗮𝘀 𝗮𝘁𝘁𝗿𝗮𝗸𝘁𝗶𝘃𝗲𝗿𝗲 𝗔𝗻𝗴𝗲𝗯𝗼𝘁. 💶

Ich werde häufig von Gründern (meist pre-Series A) gefragt, ob ein EIP in ihrem Fall schon sinnvoll ist. Eine pauschale Antwort darauf gibt es nicht. Es kommt darauf an, um welche Talente man konkurriert. Und: je früher ein EIP eingeführt wird, desto höher ist der Steuervorteil. Warum? Weil die “Anfangsbesteuerung” an den Verkehrswert der EIP-Beteiligung im Zeitpunkt ihrer Einräumung anknüpft. Dieser Wert kann durch ein V/ESOP nicht “eingeloggt” werden. 🤔

Die Sorge besteht oft darin, dass EIP zu komplex und kostenintensiv sind. Das ist verständlich, denn EIP gab es im Startup-Bereich bisher nicht. Steuerrecht ist ohnehin ein “Angstthema”, an das sich viele nicht recht herantrauen.

𝗚𝗹𝘂̈𝗰𝗸𝗹𝗶𝗰𝗵𝗲𝗿𝘄𝗲𝗶𝘀𝗲 𝘀𝗶𝗻𝗱 𝗘𝗜𝗣 𝗷𝗲𝗱𝗼𝗰𝗵 𝗸𝗲𝗶𝗻𝗲 𝗡𝗲𝘂𝗲𝗿𝗳𝗶𝗻𝗱𝘂𝗻𝗴. Sie existieren bereits seit Jahrzehnten im Bereich des Private Equity. Die Herausforderung für den Tech-Markt besteht darin, diese PE-Modelle in die Welt von VC-finanzierten Unternehmen zu übersetzen und “at scale” verfügbar zu machen. Genau dafür haben wir - gemeinsam mit GAIA Technologies - eine Struktur entwickelt, mit der EIP-Programme genauso einfach eingerichtet und gehandelt werden können wie herkömmliche V/ESOP-Modelle. Damit macht es auch für jüngere Unternehmen (pre-Series A) Sinn, in EIP einzusteigen. Wie gesagt: mit einem V/ESOP starten und später umstellen ist eine Option, aber man sollte die tatsächlichen EIP-Kosten genau abwägen mit den positiven Wettbewerbs- und Verwässerungseffekten, die mit EIP einhergehen und gerade zu Beginn besonders groß sind.

Eine andere Frage ist, wie mit Bestandsprogrammen (V/ESOP) umgegangen wird und wie man diese umstellt. Dazu komme ich bei der nächsten Frage.

In den letzten Monaten werden bei VC-finanzierten Tech-Unternehmen häufiger sog. 𝗠𝗮𝗻𝗮𝗴𝗲𝗺𝗲𝗻𝘁 𝗖𝗮𝗿𝘃𝗲-𝗼𝘂𝘁𝘀 verhandelt. Da es hierzu kaum Benchmarks gibt, möchten wir einmal unsere Marktbeobachtungen teilen. Sind  gespannt auf Feedback/weitere Benchmarks aus der Community. 📈🔍

𝗛𝗶𝗻𝘁𝗲𝗿𝗴𝗿𝘂𝗻𝗱:
Bei VC-finanzierten Startups werden Vorzugsanteile (Preferred Shares) ausgegeben, die mit Sonderrechten ausgestattet sind. Eines der wichtigsten Sonderrechte ist die Liquidationspräferenz (LiqPref). Über die LiqPref bekommen VC-Investoren nach dem Prinzip “last in, first out” im Exit-Fall ihr Investment zuerst zurück. LiqPrefs gibt es in zahlreichen Ausprägungen. Gründer stehen mit ihren Stammgeschäftsanteilen (Common Shares) in der LiqPref im Regelfall auf der letzten Stufe. Das gleiche gilt für ESOP/EIP (Management).

Wenn ein Unternehmen verkauft werden soll und unklar ist, ob ein Verkauf “oberhalb der LiqPref” möglich ist, werden Carve-outs vereinbart, um Gründer/Management bis zum Exit und darüber hinaus zusammen- und motiviert zu halten. Ein Teil der Veräußerungserlöse wird dabei “an der LiqPref vorbei” an die Gründer/das Management umverteilt, im Prinzip also ein Exit Bonus. 🤝💰

𝗚𝗿𝗼̈ß𝗲𝗻𝗼𝗿𝗱𝗻𝘂𝗻𝗴:
Ein “one size fits all” gibt es eher nicht. Nach unserer Beobachtung bei @PXR haben Carve-outs ein Volumen von 5-15% der Exit Net Proceeds. Häufig sind sie gedeckelt. Gelegentlich sehen wir auch Staffelungen (ähnlich wie bei M&A-Beratern), um auf einen möglichst hohen Exit zu incentivieren. 💼💡

Zugeteilt wird der Carve-out meist mit Zustimmung des Boards. Nach unserer Erfahrung ist es sinnvoll, den Carve-out rechtzeitig vor dem (geplanten) Exit zuzuteilen. Exit-Prozesse können extrem fordernd sein und Verteilungsdiskussionen sollten dann besser nicht mehr stattfinden. 📑⏰

𝗧𝗲𝗿𝗺𝘀:
Carve-outs haben nach unserer Beobachtung fast ausnahmslos eine Retention-Komponente. Wer im Exit-Fall nicht mehr mit dabei ist, bekommt nichts.

Interessant ist die Frage, ob Retention über das Closing hinausgehen sollte. Das wird oft vorgesehen, etwas durch eine gestaffelte Auszahlung des Carve-outs nach Closing. Aus Gesellschaftersicht hat das den Charme, dass der Carve-out zugleich Teil des Compensation/Retention Packages des Erwerbers ist. Da letzteres wirtschaftlich fast immer von den verkaufenden Gesellschaftern getragen wird (nicht explizit benannter Abzugsposten vom Enterprise Value), kommt es so nicht zum “Doppelabzug”. Bei der Retention-Komponente werden meist Acceleration Clauses mit aufgenommen. 🏢💼🔒
