The budget has brought in some reforms to Employee Ownership Trust (EOT) legislation, but unlike other aspects of the budget, it’s not all doom and gloom. The changes come as no surprise to our EOT experts, following the recent consultation into EOTs. Most of the changes took effect as of 30 October 2024 and seek to bolster the anti-abuse provisions, many of which were already implied within the legislation. Having been well abreast of such matters, our experts have been structuring EOT deals in a ‘best practice’ method which has been well within the bounds of the proposed changes. Here is a short summary of key changes as of 30 October 2024: • EOT relief claw back period extended - vendors now liable for four tax years rather than one year following the tax year of sale • No more offshore trustees - trustees must now be UK resident to meet CGT relief requirements • Former vendors cannot control the EOT - vendors who owned 5% must be outnumbered by other trustees or by other trustee directors (if a corporate trustee). • Trustee must take reasonable steps to ensure consideration paid does not exceed market value – with no previous requirement to do so, this is a positive step to ensure EOTs are not overpaying to acquire businesses. We have historically required an independent third party valuation to ensure EOTs do not overpay • Company directors can be excluded from tax free bonus payments – previously not possible without breaching the participation and equality requirements • No more grey area on the treatment of a contribution to an EOT - now confirmed as being non-taxable receipt by the EOT in legislation • Further reporting requirements - Information on sale proceeds and number of employees to be included in CGT relief claims from 6 April 2025. Overall, these changes are welcomed by our experts and do not disrupt EOT planning, nor the relief on offer. The Government’s changes are a direct response to the points raised by Employee Ownership experts during the September 2023 consultation and a positive move toward future proofing EOTs, and can build on the impact and growth of EOTs in the future.
